The Opportunity
An ambitious infrastructure and energy investment-backed business is seeking an experienced Senior Legal Counsel to play a key role in delivering large scale infrastructure projects progressing through to FID (Final Investment Decision)

This is a highly commercial role suited to a lawyer who enjoys being at the centre of transactions, working directly with senior decision-makers, investors, lenders and counterparties. The successful candidate will take ownership of a broad range of project finance, corporate and commercial matters, helping drive critical projects through to completion.

Key Responsibilities

The role centres around three core workstreams:

Project Development & Commercial Contracts
  • Leading negotiations across a substantial portfolio of project agreements.
  • Drafting, reviewing and negotiating:
  • Power and offtake arrangements
  • Major equipment procurement agreements
  • Construction and delivery contracts
  • Framework and master services agreements
  • Managing contract risks and helping drive projects towards investment approval and delivery.
Debt Financing
  • Supporting project finance debt transactions.
  • Working closely with lenders, advisors and stakeholders through credit approval and financial close processes.
  • Reviewing and negotiating finance documentation and associated project agreements.
  • Coordinating legal aspects of funding workstreams.
Equity & Corporate Transactions
  • Supporting strategic investment and corporate activity.
  • Negotiating and advising on:
  • Share Purchase Agreements
  • Shareholders' Agreements
  • Investment documentation
  • Corporate governance matters
  • Working alongside both existing and incoming investors.
Candidate Profile Essential
  • Qualified Solicitor with approximately 10 years' PQE.
  • Strong background in project finance and transactional legal work.
  • Exposure to projects progressing through FID (Final Investment Decision) or equivalent investment gateways
  • Experience leading transactions rather than merely overseeing external counsel.
  • Exposure to:
  • Infrastructure projects
  • Debt financing
  • M&A transactions
  • Corporate governance
  • Comfortable operating in a dynamic, fast-paced environment.
